CLEVER IMPORTERS TERMS AND CONDITIONS OF SALE
. These are the only terms and conditions applicable to this sale. There are no oral or collateral representations.
. All shipping dates are approximate. Clever Importers ability to meet shipping dates is contingent on Clever Importers being able to obtain necessary materials and supplies. Clever Importers shall not be responsible for delays or defaults beyond its sole control, including acts of God, labour difficulties, or failure by Clever Importers’ suppliers to deliver materials and supplies. Clever Importers shall not be liable to compensate its customer for such delays or defaults.
. All prices are F.O.B. Clever Importer Ltd. (“Clever Importers”) Warehouse.
. All orders are subject to be tagged with the Client’s Name and Address.
. Prices are subject to change without notice. Clever Importers’ prices are based on its costs at the date of this invoice. If Clever Importers incurs increased costs because of taxes, duties, legislative changes, freight rate increases, raw material cost increases, or other cost increases beyond Clever Importers’ sole control, Clever Importers will advise the customer of the increased costs which increased costs are the responsibility of Clever Importers’ customer to pay to Clever Importers.
. Clever Importers’ prices are based on the quantities specified in its quotation and invoice. Clever Importers may ship 5% over or under the quantity ordered and invoice shall reflect the quantity shipped and the invoice amount payable by the customer. If the customer decreases the quantity specified in a quotation, Clever Importers’ quotation will be voided.
. Clever Importers Ltd. reserves the right to cancel or change price quotes without notice.
. Terms are 15th of the month following.
. Any discrepancy in pricing, quantities or quality shipped must be brought to the attention of Clever Importers’ credit department in writing within thirty (30) days from the date of the invoice. No request for adjustment will be accepted after thirty (30) days. The decision of Clever Importers shall be final and binding.
. Two percent (2%) interest per month or Twenty Four percent (24%) annually will be charged on all overdue accounts.
. Shipments to dealers awaiting credit approval will be made on a C.O.D. basis. Payment is due prior to shipping materials.
. Clever Importers shall also not be liable for any delays as a result of strikes, fires, late delivery by Clever Importers’ suppliers and/or any other conditions beyond Clever Importers’ control.
. All materials are sold at Clever importers’ warehouse and whether or not, Clever Importers prepays the shipping charges, Clever Importers liability for condition of the goods ceases when Clever Importers obtains a receipt from the carrier.
. Keeping conditions and procedures are beyond Clever Importers’ control and Clever Importers cannot accept any responsibility for chipping, cracking, crazing, shading or loosening from the setting bed of any products.
. Title to all goods remains in the name of Clever Importers until paid for and Clever Importers shall have the right to enter any premises where such goods are located in order to recover possessions in the event of non-payment.
